Companies Sued Over ContentGuard Purchase

Microsoft Corp., Time Warner Inc. and Xerox Corp. were sued by the chief executive of ContentGuard Holdings Inc. over a plan to buy the company, which makes software to block illegal copying of music and films.
In a suit filed in Delaware Chancery Court, ContentGuard Chief Executive Michael Miron says the three companies are trying “to enrich themselves” at the expense of his business by sub- licensing its patents and keeping the money. The suit says that, “rather than buy out” closely held ContentGuard at a fair price, Microsoft, Time Warner and Xerox are offering a “wholly inadequate” $2.098 a share.
The European Commission is due to rule April 7 on the competitive aspects of Microsoft and Time Warner’s plan to jointly control ContentGuard.
